Shield AI: a federal judge let a former manager's whistleblower claims proceed over an alleged instruction to backdate a security form

What the record shows

As of 2026-10-04. A lawsuit or complaint being filed is not a finding against the company.

  1. On 7 May 2026 a federal judge in San Diego ruled on Shield AI's motion to dismiss a lawsuit by a former senior manager, Tate Nan (Nan v. Shield AI, Inc., S.D. Cal., No. 3:25-cv-01798). The complaint alleges that in December 2023 a Shield AI facility security officer asked him to "backdate his signatures to February 22, 2022", about 22 months before he signed, on a classified-information nondisclosure form (SF 312) and a security-briefing acknowledgment, "because of an upcoming audit by the Defense Counterintelligence and Security Agency". He alleges he signed and backdated the forms as asked, later reported it to the company's chief legal officer on 12 July 2024, and was fired on 16 July 2024. These are the complaint's allegations; no court has decided whether they are true.Source: govinfo.gov
  2. The court dismissed two claims with leave to amend: the claim that Shield AI failed to reemploy him properly after military service, and a California whistleblower claim, because the complaint did not show the events took place in California. It let two claims go forward: the federal defense-contractor whistleblower claim and the claim of discrimination over his military service. The judge wrote that the court "finds it objectively reasonable for a seasoned defense contracting employee to believe that being told to intentionally backdate a SF 312, during an audit by the DCSA, could violate federal law", and that the report "is hardly an 'internal personnel matter' as Defendant attempts to argue". The ruling tests only whether the claims are properly pleaded.Source: govinfo.gov
  3. The case is open. The docket shows an amended complaint on 15 May 2026, Shield AI's answer on 12 June 2026, and a scheduling order on 19 August 2026. On 26 March 2026 Shield AI announced a $1.5 billion Series G at a $12.7 billion valuation.Source: dockets.justia.com · shield.ai
