What the record shows
As of 2026-10-04. A difference between what a company announces and what it files is not a finding of wrongdoing.
On 19 March 2026 Cloaked announced "$375 million in funding as part of a Series B raise and growth financing through General Catalyst's Customer Value Fund".Source: businesswire.com
The Form D that Cloaked, Inc. filed with the SEC on 27 March 2026 reports a total offering of $133,157,059, of which $116,741,972 had been sold to 25 investors, with the first sale on 9 February 2026. The filing states: "$58,156,925 of the Total Offering Amount and Total Amount Sold was attributable to SAFEs that converted in connection with the Company's Series B preferred stock financing." That leaves $58,585,047 sold that was not a conversion of earlier SAFEs.Source: sec.gov
The announcement does not say how the $375 million divides between the Series B and the growth financing. A Form D records securities sold; financing that is not a sale of securities would not appear on it. A difference between an announced figure and a Form D is not a finding of wrongdoing.Source: businesswire.com · sec.gov
