Hyzon expected to receive up to $570 million after expenses from the SPAC merger with Decarbonization Plus Acquisition Corp.15 The pro forma implied equity value of the Hyzon and DCRB combination was $2.7 billion.15 In July 2024, Hyzon announced a registered direct offering expected to raise approximately $4.5 million in gross proceeds.10 Hyzon lost $124 million through the first nine months of 2024.6 Hyzon had approximately $30 million in cash as of September 30, 2024.6 Hyzon posted a loss of $41.3 million in the third quarter of 2024.89 Hyzon had $30.4 million of liquid assets at the end of Q3 2024, compared with $112.3 million at the start of 2024.9 Hyzon agreed to pay a $25 million civil penalty to settle SEC charges.617

What happened

Hyzon Motors was spun off from Singapore-based Horizon Fuel Cell Technologies in 2020.489 Hyzon focused on hydrogen fuel cell systems for heavy-duty trucks.2415 In February 2021, Hyzon announced a merger with Decarbonization Plus Acquisition Corp., a SPAC.15 The merger closed in July 2021 and Hyzon began trading on Nasdaq under ticker HYZN.4618 Hyzon received more than $550 million in proceeds from the transaction.4

Hyzon projected revenues to grow from $37 million in 2021 to nearly $3.3 billion in 2025.4 In September 2021, Blue Orca Capital published a short seller report alleging Hyzon's largest customer was a fake company and other customers were not real customers.418 Hyzon denied the allegations.24 A class action lawsuit was filed against Hyzon in October 2021 alleging securities law violations.4 In August 2022, Hyzon disclosed revenue recognition timing issues in China and withdrew its financial guidance.2

Hyzon's board retained a third-party consulting firm to reassess its global strategy.2 CEO Craig Knight was replaced by Parker Meeks as interim CEO in August 2022.89 Parker Meeks was appointed permanent CEO in April 2023.9 In September 2023, Hyzon agreed to pay a $25 million civil penalty to settle SEC fraud charges without admitting or denying the allegations.617 Hyzon continued to develop its fuel cell technology and began series production of its 200-kilowatt Class 8 truck in September 2024.89

Hyzon started series production of its 200-kW fuel cell system in Bolingbrook, Illinois in October 2024.9 Hyzon secured its first order for a hydrogen-powered refuse truck from Green Waste in October 2024.5 Hyzon completed a trial with logistics firm TALKE USA in October 2024.5 Despite these milestones, Hyzon's revenue remained minimal, with only $134,000 in Q3 2024.8 Hyzon's cash reserves declined from $112.3 million at the start of 2024 to $30.4 million by the end of Q3 2024.9

In December 2024, Hyzon issued WARN notices to employees in Illinois and Michigan, indicating potential layoffs.69 Hyzon's board voted to dissolve the company if no rescue funding arrived.9 In January 2025, Hyzon announced its intent to liquidate.5 CEO Parker Meeks stepped down on February 4, 2025, and was replaced by CTO Christian Mohrdieck.89 Shareholders voted to dissolve the company on February 13, 2025.89
