The Reporting Persons purchased the Shares based on the Reporting Persons' belief that the Shares, when purchased, were undervalued and represented an attractive investment opportunity. The Reporting Persons may communicate with members of management of the Issuer and the board of directors of the Issuer (the "Board"), current or prospective shareholders, or other third parties regarding a variety of matters relating to the Issuer, which may include, among other things, the Issuer's corporate governance, including, changes to Board composition [(including, without limitation, proposing or nominating director candidates to the Board)], strategic transactions, alternatives, direction and plans, [including transactions in which the Reporting Persons may seek to participate and potentially engage in,] business, management, operations, ownership, capital structure and allocation, and may take steps regarding the foregoing and/or take action to bring about changes to increase shareholder value as well as pursue other plans or proposals that relate to or could result in any of the matters set forth in clauses (a)-(j) of Item 4 of Schedule 13D. On August 6, 2026, the Reporting Person entered into a Purchase and Sale Agreement (the "Agreement") with Kotarba Partners Fund I, LP, a Delaware limited partnership (the "Purchaser"), pursuant to which the Reporting Person has agreed to sell to the Purchaser up to 738,534 shares of Common Stock (the "Shares"), comprising 100% of the shares of Common Stock beneficially owned by the Reporting Person as of the date of this filing, on the terms and conditions specified in the Agreement. Under the Agreement, the Purchaser is obligated to purchase 176,006 Shares at a purchase price of $1.85 per share no later than September 30, 2026, subject to customary closing conditions (the "Initial Purchase"). The Purchaser has the option to purchase the remaining Shares by no later than March 31, 2028; provided that the Initial Purchase has been completed. Of the remaining Shares, 176,006 will have a purchase price of $1.85 per share, and the balance will have a purchase price equal to 85% of the volume-weighted average price of the Company's common stock for the 30 consecutive trading days ending on the last business day immediately prior to the applicable closing date, subject to a minimum purchase price of $1.85 per share and a maximum purchase price of $4.00 per share. Kotarba Partners Fund I, LP
The Reporting Persons acquired the rights described in Item 3 for investment purposes. Scott Kotarba was appointed to the Issuer's board of directors (the "Board") effective August 10, 2026. As a member of the Board, Mr. Kotarba participates in the management and policies of the Issuer and, in that capacity, may take positions or actions with respect to matters presented to the Board. The Reporting Persons intend to review their investment in the Issuer on a continuing basis and may engage in discussions with the Issuer's management, the Board, other shareholders and other persons regarding the Issuer's business, operations, capital structure, strategy, governance and Board composition. Depending on various factors, including the Issuer's financial position and strategic direction, market conditions, and other investment opportunities, the Reporting Persons may take such actions as they deem appropriate, including exercising the Option in whole or in part, acquiring additional Shares, disposing of Shares, or changing their intention with respect to any of the matters referred to in subparagraphs (a) through (j) of Item 4.
