Immediately following the Merger, Victory's wholly-owned subsidiary bank, The Victory Bank, a Pennsylvania-chartered state bank, merged with and into QNB Bank, a Pennsylvania-chartered state bank and wholly-owned subsidiary of the Company (the "Bank"), with the Bank as the surviving bank in the subsidiary bank merger.
