(the "Company") completed the previously announced acquisition of Robo-Team Holdings Ltd, a company organized under the laws of the State of Israel (the "Robo-Team") , pursuant to the Share Purchase Agreement, dated November 23, 2025 (the "Agreement"), by and among the Company, Robo-Team, the Robo-Team shareholders, and Mr. Yossi Wolf, of 10 Hankin St., Tel Aviv, solely in his capacity as the representative, agent and attorney-in-fact of the Indemnifying Parties (as defined in the Agreement) .
