(" Mantle "), pursuant to the Agreement and Plan of Merger dated September 16, 2026 (the " Merger Agreement ") by and among the Company, Mantle and Magma Merger Sub Inc., a Delaware corporation and a wholly-owned subsidiary of the Company (" Merger Sub "), and Shareholder Representative Services LLC, a Colorado limited liability company, solely in its capacity as representative, agent and attorney in fact of the Sellers.
