Agreement and Plan of Merger and Reorganization On May 4, 2026 (the "Closing Date"), Gyre Therapeutics, Inc., a Delaware corporation (the "Company" or "Gyre"), consummated the previously announced acquisition of Cullgen Inc., a Delaware corporation ("Cullgen"), in accordance with the terms of the Agreement and Plan of Merger and Reorganization, dated March 2, 2026 (the "Merger Agreement"), by and among the Company, Helix Merger Sub Corp., a Delaware corporation and wholly owned subsidiary of the Company ("Merger Sub"), and Cullgen.
