Founder Shares On July 18, 2025, the Sponsor paid $25,000 to cover certain of Issuer's offering and formation costs in exchange for 7,666,667 Class B ordinary shares, par value $0.0001 per share of the Issuer (the "Class B ordinary shares" or the "Founder Shares"). The Founder Shares will automatically convert into Class A ordinary shares immediately prior to, concurrently with or immediately following the consummation of the Issuer's initial business combination (the "Business Combination") or earlier at the option of the holder on a one-for-one basis, subject to the adjustments and anti-dilution rights described under the heading "Description of Securities--Founder Shares " in the Issuer's prospectus (File No. 333-291082). Private Placement Units Simultaneously with the closing of the IPO, on January 29, 2026, pursuant to a Private Placement Units Purchase Agreement (the "Private Placement Units Purchase Agreement"), the Issuer completed the private sale of 415,000 units (the "Private Placement Units") at a purchase price of $10.00 per unit, to the Sponsor, generating gross proceeds to the Issuer of $4,150,000. Each Private Placement Unit consists of one Class A ordinary share and one-third of one warrant.
