REGISTRATION RIGHTS AGREEMENT On February 3, 2026, in connection with the closing of the Offering, the Issuer entered into a registration rights agreement (the "2026 Registration Rights Agreement") with the investors in the Offering, pursuant to which the Issuer is required to prepare and file a registration statement with the Securities and Exchange Commission covering the resale of the Common Shares issued to the investors pursuant to the Securities Purchase Agreement, together with the Common Shares underlying the Warrants.
