Purpose of Transaction (Item 4)
Shipyard Capital Management LLC
The Reporting Persons acquired shares of Pacific Coast for investment purposes. Shipyard, CCP, ECM, Mr. Eriksen, and Eriksen Family LLC believe that the trustee is not properly representing unitholders. The trustee has refused to file suit against Pacific Coast Energy Company LP ("PCEC"), the operator of Pacific Coast Oil Trust, for what we believe are illegal and improper assessments against the trust, preventing the trust from making distributions and potentially forcing dissolution and liquidation, which we believe would harm unitholders. In addition, the Trustee has not required escrow of the assessed asset retirement obligations which we believe could subject them to potential appropriation by the owners of PCEC or be subject to any claims against PCEC. While we continue to believe the assessment was improper, we believe that the assessed funds, along with interest, should be returned to the Trust (unitholders) should the trust be liquidated and sold since asset retirement obligations transfer to any new buyer. In pursuing such investment purposes, the Reporting Persons may further purchase, hold, vote, trade, dispose or otherwise deal in the units at times, and in such manner, as they deem advisable to benefit from, among other things, (1) changes in the market prices of the units; (2) changes in the Issuer's operations, business strategy or prospects; or (3) from the sale or merger of the Issuer. In addition, the Trustee has not required escrow of the assessed asset retirement obligations which we believe could subject them to potential appropriation by the owners of PCEC or be subject to any claims against PCEC. Further, we believe the Trustee is incorrectly allowing PCEC to charge accretion to the Trust for the full amount of the asset retirement obligation, not the reported remaining balance. While we continue to believe the assessment was improper, we believe that the assessed funds, along with interest, should be returned to the Trust (unitholders) should the trust be liquidated and sold since asset retirement obligations transfer to any new buyer. Where this comes from
Anyone who comes to own more than 5% of a class of a listed company's voting shares has to tell the SEC. A holder who may seek to change or influence the company files Schedule 13D, and has to say in Item 4, "Purpose of Transaction", what it intends to do. A holder with no such intent, such as many index and passive funds, may file the shorter Schedule 13G. Both are amended when the stake changes, including when it falls below 5%.
Every row here is one of those filings, linked to the filing itself. Percentages and share counts are exactly as the holder filed them, for the holder the filing names; an amendment showing a lower figure is shown as filed. Item 4 text is quoted word for word. Where a 13D's Item 4 contains a sentence stating a definite intent to influence the company, that sentence is marked and quoted; the page does not describe the holder or its motives beyond the words it filed. Nothing here is investment advice.
