Purpose of Transaction (Item 4)

The Reporting Persons acquired the Common Stock reported herein for investment purposes and to facilitate a change in the leadership of the Issuer. On March 13, 2026, ICP entered into a Common Stock Purchase Agreement (the "Stock Purchase Agreement") with the Issuer. Pursuant to the Stock Purchase Agreement, ICP purchased 689,656 shares of Common Stock (the "Shares") at a purchase price of $0.29 per share, for an aggregate purchase price of $200,000.24. Mr. Ajjarapu, as the managing member of ICP, may be deemed to have shared voting and dispositive power over these shares. The acquisition of the Shares was made in connection with a planned transition of the Issuer's leadership. Effective as of March 16, 2026, Mr. Ajjarapu was appointed by the Issuer's Board of Directors (the "Board") as the Chief Executive Officer of the Issuer, a Class III director and the Chairman of the Board. The Reporting Persons may, from time to time, depending on prevailing market, economic and other conditions, acquire additional shares of Common Stock or other securities of the Issuer, dispose of any such securities or engage in discussions with the Issuer concerning such acquisitions or dispositions or further investments in the Issuer.
