The Reporting Person acquired the securities of the Issuer for investment purposes. Except as otherwise described herein, the Reporting Person does not currently have any plans or proposals which relate to or would result in any of the actions specified in clauses (a) through (j) of Item 4 of Schedule 13D, including, without limitation, any extraordinary corporate transaction involving the Issuer or any of its subsidiaries, any sale or transfer of a material amount of assets of the Issuer or any of its subsidiaries, any change in the present board of directors or management of the Issuer, any material change in the present capitalization or dividend policy of the Issuer, or any other material change in the Issuer's business or corporate structure. However, the Reporting Person reserves the right to develop such plans or proposals in the future and to take any and all actions that they may deem appropriate with respect to their investment in the Issuer, including, without limitation, acquiring additional securities of the Issuer, disposing of some or all of the securities of the Issuer beneficially owned by them, or otherwise changing their intention with respect to any or all matters referred to in Item 4 of Schedule 13D.
