20 rounds listed, largest item 16 amount first. One row per company: its most recent Form D that meets the rule.
A Form D is the notice a company files with the U.S. Securities and Exchange Commission after it sells shares or other securities privately. Item 16 asks how much of the gross proceeds has been or will be used for payments to any of the company's executive officers, directors or promoters, and lets the company add a clarification.
Rows shown: item 16 is at least 10% of the amount sold and at least $5 million. Left out: listed companies, investment funds, property and other single-asset vehicles, and filings whose clarification says the amount is salary, ordinary compensation, deferred compensation or a management fee.
A payment reported under item 16 can have ordinary reasons, for example the company buying back shares, or repaying a loan, as the filing itself may say. The table states what the filing reports and nothing more.
