On March 1, 2026 (the "Closing"), Virtus Investment Partners, Inc., a Delaware corporation (the "Company"), through its wholly owned subsidiary Virtus Private Markets Holdings, LLC, a Delaware limited liability company, completed its previously announced acquisition of 56% of the equity of Keystone National Group, LLC ("Keystone"), a Delaware limited liability company, pursuant to an Equity Purchase Agreement (the "Purchase Agreement"), dated as of December 5, 2025, by and among the Company, Virtus Private Markets Holdings, LLC, Keystone, and Keystone's owners and beneficial owners (the "Transaction").
