As previously disclosed in the Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (the " SEC ") on July 6, 2026, Crinetics Pharmaceuticals, Inc., a Delaware corporation (the " Company "), entered into an Agreement and Plan of Merger, dated as of July 6, 2026 (the " Merger Agreement "), with Vertex Pharmaceuticals Incorporated, a Massachusetts corporation (" Parent "), and Clark Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (" Merger Sub "), providing for the merger of Merger Sub with and into the Company (the " Merger "), with the Company surviving the Merger as a wholly owned subsidiary of Parent.
