("Adirondack") and its banking subsidiary Adirondack Bank, which was merged with and into Arrow Bank pursuant to the terms of the Agreement and Plan of Merger (the "Agreement") dated February 25, 2026.

The banking system conversion and integration is scheduled to be completed later in 2026 Merger Consideration Pursuant to the terms and subject to the conditions of the Agreement, each share of common stock, par value $5.00 per share, of Adirondack outstanding immediately prior to the effective time of the transaction will be converted into the right to receive (i) 1.8610 shares of Arrow common stock, par value $1.00 per share, and (ii) $18.72 in cash.
